| Broadcast Ordering Agreement

A. General
1. An order for services offered by Go-Live will be handled
in accordance with the conditions of use which appear in the
web site www.go-live.co.il
2. Wherever the singular form is used, it is intended also,
depending on the circumstances of the case, to relate to the
plural and vice versa.
B. Offer conditions
In respect of an order for a broadcast on the website of Go-Live
we hereby declare and confirm as follows:-
1. We hereby declare that we are aware that the website, including
also the order conditions, is intended for authorized use only
and that any commercial and/or public use thereof without the
agreement of Go-Live in writing obtained in advance of such
use, is prohibited. It is clear to us that any breach of an
order condition will constitute grounds of action for a legal
proceeding against us.
2. It is clear to us that the conditions specified herein have
legal force and are binding and that they contain all the agreements
and understandings between us and Go-Live regarding everything
concerning the video broadcasts on the website, however nothing
in these legal conditions will detract from the force and effect
of any other agreement between us and Go-Live, and everything
in these legal conditions is in addition to any other such agreement.
3. We declare that we are aware that Go-Live has limited responsibility
for the quality and standard of the service and that the use
of the service is given in the state and condition that it is
found "AS IS" in accordance with the ability of Go-Live. We
declare that we will not have any claim or right of action or
demand as against Go-Live and/or anyone on its behalf and/or
against any third party which cooperates with it, concerning
the content used, the limitations, or the reactions that the
broadcast arouses. The use of the service is therefore made
at our sole and full responsibility.
4. In consideration for the service we commit ourselves to make
payment to Go-Live of the amount in money determined in the
price offer with prior payment to Go-Live on performance of
the offer.
5. Go-Live will do everything in its power in order to provide
a quality, professional broadcast service without disturbances
and to work with the best suppliers and service providers. We
are aware that Go- Live does not commit itself that the services
of the site will not be disturbed, or will be given in sequence
without delays, will take place with certainty and without mistakes,
or will be immune to unauthorized access to its computers or
to damage, spoilage, problems or faults or failures including
those which appear in the computer hardware, in the content,
in the communication lines, at the company or at any of the
suppliers. Go-Live will not be liable or responsible for any
damage, direct or consequential, and/or for any loss and/or
expenses including anguish or mental distress caused to us and/or
to anyone on our behalf and/or to viewers owing to the aforesaid.
Subject to the provisions of this agreement it is agreed that
if a broadcast is not made at all because of causes depending
on Go-Live and it only, and in its sole discretion, the payment
for the service may be refunded to the person making the order.
It is clarified that Go-Live will not be obliged to justify
its decision in this respect.
6. We are aware that like all websites, the contents of Go-Live
website are also exposed to view and use by any surfer on the
web, and Go-Live is not responsible for the security of the
content and/or for any damage to and/or any loss of material
and/or any loss of money and/or for expenses which may be caused
to the person ordering the service and/or any third party whatsoever
as a result thereof.
7. We declare that our broadcast content on the internet will
not constitute an invasion of privacy and/or harm the modesty
of the individual and/or harm the copyrights and/or harm the
confidentiality of anyone, and we waive all and any claim in
respect thereof including in circumstances in which Go-Live
operates in accordance with the provisions of the Law of Freedom
of Information 1998 or the provisions of any other law.
8. We undertake that there will not be broadcast during the
course of the broadcast any content which is unsuitable or unbecoming
or inappropriate and/or material that is illegal, threatening,
libelous, and/or defamatory which may harm or injure or disturb
or harass Go-Live and/or any other body. We are aware that Go-Live
is entitled to refuse to publish content which in its opinion
breaches any of the conditions of use and/or is liable to harm
or injure the Site and/or Go-Live and/or any third party whatsoever,
and it is also entitled to delete such content at any time.
It is clarified that nothing in this clause shall have the effect
of obliging Go-Live to supervise or inspect, in any way, the
content for broadcasting.
9. We are aware that Go-Live is entitled to close the Site and
also to change its structure from time to time, and to change
its appearance, and to change the availability of its services
and content without the need to inform us of this in advance
and we will have no claim, cause of action or demand in respect
thereof against Go-Live.
10. It is clarified that in no circumstances will any responsibility
or liability will be applied or imputed to Go-Live and/or anyone
on its behalf in respect of any damage, whether direct, consequential,
punitive damages, incidental or accidental damages, special
damages or consequential and/or any other type of damages of
any nature whatsoever, which is caused or which may be caused
because of the use of the ordered services, whether based on
agreement or for damages, whether for absolute responsibility
or liability and/or for any other reason or cause, even if it
was known to Go-Live or to anyone on its behalf that there was
a possibility of such damages.
11. In the event that damages of any type or nature whatsoever
are caused to Go-Live and/or to anyone on its behalf, because
of the order or because of the provision of services, then we
undertake to, immediately and upon the first demand, indemnify
Go-Live and/or its workers and/or its managers and/or its shareholders
or anyone on its behalf for such damages and for any loss, loss
of profits, payment or expense caused to them including legal
expenses.
12. We are aware that the laws of the State of Israel will apply
to the conditions of this order and to everything deriving from
them or connected to them and any dispute or legal action in
connection therewith will be fall under the jurisdiction of
and be determined by the legal system in Jerusalem only.
13. We hereby declare that we have read and perused carefully
and have also fully understood the conditions of use and these
order conditions and our agreement thereto constitutes an undertaking
and commitment to fulfill the conditions as they apply from
time to time. We declare that we are aware that only on the
basis of and in reliance on our declarations and on this written
agreement, has Go-Live agreed to supply the services. We undertake
and commit ourselves that we will not bring claims or demands
based on claims of misunderstanding or of being unaware of any
of the conditions of the service or of the balance of the agreements
and we hereby waive in advance any such claims. |
